13. Delivery & Risk Transfer (Incoterms)
All deliveries shall be governed by the latest version of Incoterms® (as agreed in the contract) such as EXW, FOB, CIF, or DDP.
- Risk transfers from Seller to Buyer strictly as per the agreed Incoterm
- Any changes in freight, insurance, or duties shall be to Buyer’s account unless agreed otherwise
- Delivery timelines are indicative and subject to logistics, customs clearance, and supplier schedules
14. Inspection & Acceptance
- Materials may be subject to third-party inspection (if agreed)
- Buyer must inspect goods upon receipt
- Any discrepancies must be reported within 7 days of delivery
- Failure to notify within this period shall be deemed as acceptance of goods
15. Payment Terms & Security
- Payment terms shall be agreed per transaction (Advance / LC / Credit Terms)
- For international transactions, Irrevocable Letter of Credit (LC) may be required
- Orders may not be processed until payment security is confirmed
- Any banking charges shall be borne by the Buyer
16. Price Variation Clause
Due to fluctuations in raw material prices, freight costs, and currency exchange rates:
- Prices are subject to revision prior to order confirmation
- Confirmed orders may be revised only under mutually agreed conditions
17. Force Majeure
Zentrix Trading FZCO shall not be liable for delays or failure in performance due to events beyond reasonable control, including:
- War, geopolitical tensions, sanctions
- Port congestion, shipping delays
- Natural disasters, pandemics
- Government restrictions or regulatory changes
18. Warranty Disclaimer
- Products are supplied as per manufacturer specifications
- No additional warranties are provided unless explicitly agreed
- Any warranty claims shall be subject to manufacturer terms
19. Limitation of Liability

- Buyer is responsible for import permits, duties, and local compliance

- No disclosure to third parties without written consent
23. Dispute Resolution
- Any disputes shall first be resolved amicably
- If unresolved, disputes shall be subject to jurisdiction of UAE courts
